§1.Introduction#
Welcome to Longevity.haus. These Provider Terms of Service ("Terms") constitute a legally binding agreement between your clinic, practice, or healthcare business ("Provider," "you," or "your") and CarbonOS Inc, a Wyoming corporation doing business as Longevity.haus ("CarbonOS," "we," "us," or "our").
By completing the verification process and accepting these Terms, you agree to be bound by them. If you do not agree, please do not use our platform.
§2.What we do#
Longevity.haus is a marketplace platform that connects patients with healthcare providers. We are:
- A matchmaker, not a healthcare provider. We facilitate connections but do not provide medical advice, diagnosis, or treatment.
- A technology platform. We provide booking, payment processing, and communication tools.
- An independent contractor relationship. Providers are not employees, agents, or representatives of CarbonOS.
§3.Payment terms#
§3.1How payments work#
We use Stripe (including Stripe Connect and other Stripe products) to process bookings. Depending on your country, treatment configuration, and what Stripe products are available or supported at the time, payment may be taken in either of the following ways:
- Connected-account model. The patient pays directly to your connected Stripe account in your settlement currency, our platform commission is collected via Stripe's application-fee mechanism, and Stripe deducts its processing fees from your settlement.
- Platform-collected model. CarbonOS collects payment as your commercial agent (for example, where Stripe destination charges are not supported in your country) and onward-settles funds to you, less our platform commission and any applicable payment-processing, currency-conversion, payout, dispute, or refund costs.
In either model, payouts follow Stripe's standard schedule (or, for the platform-collected model, the schedule we communicate to you in writing). We may switch between models, or between Stripe products, at our discretion in order to keep payments flowing or to comply with payment-network or regulatory requirements; the total amount the patient is charged and the amount you ultimately settle to do not change as a result of which mechanism we use.
§3.2Platform commission#
Our platform commission is 10% of each transaction, calculated on the actual amount charged (including any discounts). This commission covers platform services, curation, marketing, customer support, and ongoing development.
§3.3Processing, currency, payout, and dispute costs#
In addition to our platform commission, the following third-party costs apply to each booking and may be deducted from your settlement, from your future payouts, or, in the platform-collected model, from the amount we onward-settle to you:
- Payment processing fees charged by Stripe (or any successor or alternative payment processor we use), which vary by country, payment method, card-present vs card-not-present, domestic vs international card, and the Stripe product configuration in use.
- Currency-conversion costs and FX spreads where the booking currency, the card currency, and the settlement currency are not all the same.
- Payout fees and instant-payout fees where applicable.
- Chargeback / dispute fees levied by Stripe or by the card networks, which we may pass through to you per Section 3.7 below.
- Refund-related costs, including the original payment-processing fee which Stripe does not return on refunded transactions in some regions.
These costs are set by Stripe and the card networks, not by Longevity.haus, and may change at any time. We do not separately mark them up. Current published Stripe rates for your country are available at stripe.com/pricing and form part of these Terms by reference. By accepting these Terms you authorise CarbonOS, on your behalf, to deduct or recover these costs from settlements, payouts, or by invoice.
§3.4Currency lock#
Your registered country and settlement currency are locked when you connect your Stripe account and cannot be changed without re-onboarding (creating a new Stripe Connect account from scratch). Patients are charged in your settlement currency; their bank handles any currency conversion at their bank's rate.
§3.5Same-visit upsells#
If a patient referred through Longevity.haus purchases additional services during the same visit, you agree to report these upsells and pay the 10% platform commission on those additional services. This is based on an honor system, but failure to report may result in account termination.
§3.6Fee changes#
We may adjust platform commission with 30 days written notice via email. Your continued use of the platform after the notice period constitutes acceptance. If you disagree with fee changes, you may terminate your account. Stripe processing fees are set by Stripe and may change at any time per Stripe's terms.
§3.7Refunds and chargebacks#
CarbonOS handles refunds and chargebacks on behalf of the platform. If a patient requests a refund or files a chargeback, we will process it according to your stated cancellation policy.
Chargeback fees: When a patient files a chargeback, Stripe charges a standard dispute fee (currently approximately ฿500 / USD 15) on top of the disputed amount. Longevity.haus reserves the right to invoice this fee plus reasonable handling costs to your account.
What we do to help prevent disputes:
- Send booking confirmation emails to patients
- Send appointment reminders before scheduled visits
- Display your cancellation policy clearly during checkout
- Provide an easy refund request process (refunds are cheaper than chargebacks)
What you must do:
- Set a clear, fair cancellation policy
- Respond promptly to patient inquiries and concerns
- Deliver services as described and promised
- Communicate proactively if appointments need to be rescheduled
- Process legitimate refund requests promptly
Recovery of costs: If a chargeback results from your failure to provide services, misrepresentation, or failure to honor your cancellation policy, we may recover the chargeback amount plus any associated fees from your future payouts.
§4.Your obligations#
§4.1Onboarding requirements#
To use our platform, you must:
- Complete Stripe Connect identity verification
- Accept these Terms of Service
- Provide valid business registration/license
- Hold valid medical licenses or certifications for the services you offer
§4.2Ongoing obligations#
You agree to:
- Maintain valid licenses and appropriate insurance for your jurisdiction
- Notify us promptly if any licenses are revoked or suspended
- Accurately represent your services, qualifications, and pricing
- Honor all bookings made through the platform
- Report same-visit upsells and pay the applicable platform fee
- Respond to patient inquiries within a reasonable timeframe
- Comply with all applicable laws in your operating jurisdiction
§4.3What you must not do#
- Misrepresent credentials, services, or qualifications
- Provide services without valid licenses
- Engage in fraudulent billing or pricing practices
- Discriminate against patients
- Violate patient privacy or data protection laws
- Engage in any illegal activity
§5.Refunds and cancellations#
You set your own cancellation and refund policy during onboarding. CarbonOS processes refunds on your behalf according to your stated policy.
You are responsible for:
- Clearly communicating your policy to patients
- Honoring your stated cancellation policy
- Notifying us if a service cannot be delivered as promised
Platform fees are refunded when we process a full refund. If refunds result from your failure to provide services, we may recover the amount from future payouts.
§6.Content and data#
§6.1Your content#
You retain ownership of content you upload (photos, descriptions, treatment info). By uploading, you grant CarbonOS a non-exclusive, worldwide, royalty-free license to:
- Display content on the platform
- Use for marketing and promotional purposes
- Modify or resize for platform requirements
- Sublicense to partners for SEO and advertising
This license terminates when you leave the platform, except for aggregated or anonymized data.
§6.2Reviews and ratings#
CarbonOS owns patient-submitted reviews and ratings. Reviews remain on the platform even after you depart as part of the historical record.
§6.3Patient data#
You receive patient booking information (name, contact, treatment booked). We do not store or share medical records. You must comply with applicable data protection laws (GDPR, etc.) in your jurisdiction.
§7.Liability and indemnification#
§7.1Our liability#
The platform is provided "as is" without warranties. We are not liable for:
- Platform downtime or technical issues
- Lost bookings due to technical problems
- Patient disputes with providers
- Medical outcomes
- Stripe processing issues
Maximum liability: Our total liability is capped at the platform fees you paid us in the previous 12 months. We are not liable for consequential damages (lost profits, lost bookings, reputational harm).
§7.2Your indemnification#
You agree to indemnify and defend CarbonOS against claims arising from:
- Your services or treatments
- Patient complaints about your conduct
- Misrepresentation of credentials or services
- Violation of laws or regulations
- Data breaches caused by you
- Any third-party claims related to your business
§8.Termination#
§8.1You can leave anytime#
You may terminate your account at any time. You must honor existing bookings before departure. Final payouts are processed per standard Stripe timing.
§8.2We can terminate immediately#
We reserve the right to immediately terminate your account for:
- Fraud or illegal activity
- License revocation
- Serious policy violations
- Patient safety concerns
- Repeated complaints
No cure period is required for serious violations. We may hold payouts pending investigation of disputes.
§8.3After termination#
Your content is removed from the platform. Reviews and ratings remain as historical record. You remain obligated to pay any outstanding fees.
§9.Dispute resolution#
§9.1Governing law#
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
§9.2Arbitration#
All disputes shall be resolved by binding arbitration administered by JAMS or AAA, conducted in English. Each party bears their own costs; arbitrator fees are split equally.
No class actions: You agree to resolve disputes individually, not as part of any class or representative action.
§9.3Exceptions#
Either party may seek injunctive relief for intellectual property violations or platform abuse, or pursue claims in small claims court if within jurisdictional limits.
§10.General terms#
§10.1Changes to terms#
We may update these Terms at any time. We'll provide 30 days notice via email. Your continued use after the notice period constitutes acceptance. You may terminate if you disagree.
§10.2Communications#
Official notices are sent to your registered email. You're responsible for keeping your contact information current.
§10.3Assignment#
You may not assign these Terms without our consent. We may assign them in the event of a merger, acquisition, or sale.
§10.4Entire agreement#
These Terms, together with our Privacy Policy, constitute the complete agreement between you and CarbonOS regarding your use of the platform.
